These Partner Terms and Conditions ("Agreement") govern the relationship between OnePazz ("Platform", "we", "us") and the gym, fitness studio, or wellness centre ("Partner", "you") that registers to participate in the OnePazz partner network. By submitting an application or accepting a partner invitation, you agree to be bound by this Agreement.
1. Partnership Overview
OnePazz is a corporate wellness platform that connects employers and their employees ("Members") with fitness and wellness facilities in Cambodia. As a Partner, you agree to accept check-ins from OnePazz Members and grant them access to your facility in accordance with the terms below.
2. Eligibility
- You must be a legally registered business operating in Cambodia.
- Your facility must maintain all required operating licences and permits.
- You must have a designated point of contact who can be reached by OnePazz within 2 business days.
- You must install the OnePazz check-in system (QR code) at your facility entrance or reception.
3. Member Access
- You agree to allow OnePazz Members to use your facility during your advertised operating hours.
- Members must be treated with the same standard of service as your regular paying customers.
- You may set a daily capacity limit through your partner portal. Once reached, Members may be declined for that day.
- You must not impose additional charges on OnePazz Members beyond what is covered by their membership plan.
4. Check-In System
- OnePazz provides a QR code that Members scan via the OnePazz app to check in at your facility.
- Each check-in is recorded and used to calculate your monthly payout.
- You must not tamper with or attempt to inflate check-in counts artificially. Any fraudulent activity will result in immediate termination of this Agreement and forfeiture of outstanding payouts.
- If your QR code is lost or compromised, you must regenerate it immediately via your partner portal.
5. Revenue Share & Payouts
- OnePazz will pay you a revenue share based on the number of verified Member check-ins at your facility each month.
- Payouts are calculated using a unit-based system that depends on your partner tier (Bronze, Silver, or Gold). Tier-specific rates are provided in your partner portal.
- OnePazz retains a platform fee ("OnePazz Cut") as configured in the platform settings or as agreed in writing.
- Payouts are processed on or around the 5th of each month for the previous calendar month, subject to confirmation by the OnePazz finance team.
- Payouts are made in USD or KHR at the exchange rate configured by OnePazz at the time of payout.
- OnePazz reserves the right to withhold or adjust payouts in the event of disputes, fraudulent activity, or significant data discrepancies.
6. Partner Tiers
Partners are assigned to one of three tiers (Bronze, Silver, Gold) based on facility quality, capacity, and service offering. Your tier affects the check-in unit calculation and may affect visibility on the platform. OnePazz may reclassify your tier at its discretion, with 30 days' written notice.
7. Partner Portal
You will be provided access to the OnePazz Partner Portal where you can:
- Manage your gym profile, photos, and operating hours
- View check-in history and earnings
- Manage staff accounts and access the check-in screen
- Access and regenerate your QR code
You are responsible for keeping your portal credentials secure. You must not share your login with unauthorised individuals.
8. Data & Privacy
- OnePazz collects check-in data including timestamps and Member identifiers. This data is used for payout calculations and platform analytics.
- You agree not to collect, store, or use OnePazz Member personal data for any purpose beyond facilitating the check-in.
- Both parties agree to comply with applicable data protection laws in Cambodia.
9. Branding & Marketing
- By joining the network, you grant OnePazz the right to list your facility name, description, photos, and location on the OnePazz platform and in marketing materials.
- You may display the "OnePazz Partner" badge at your facility and on your website.
- You must not misrepresent your relationship with OnePazz or make false claims about the platform.
10. Facility Standards
- You agree to maintain a clean, safe, and adequately equipped facility at all times.
- OnePazz reserves the right to conduct periodic quality reviews, including anonymous Member visits.
- Member reviews are published on the platform. You may respond to reviews but must not attempt to remove or falsify them.
- A sustained average rating below 3.0 stars may result in suspension of your partner status pending review.
11. Term & Termination
- This Agreement is effective from the date your application is approved and continues indefinitely until terminated.
- Either party may terminate this Agreement with 30 days' written notice.
- OnePazz may terminate this Agreement immediately and without notice for: fraud, repeated failure to honour Member access, breach of these terms, or conduct that damages the OnePazz brand.
- Upon termination, access to the partner portal will be revoked. Any outstanding payouts for confirmed check-ins prior to termination will be processed in the next regular payout cycle.
12. Liability
- OnePazz is not liable for any injury, loss, or damage suffered by Members at your facility. You maintain full responsibility for the safety of your premises.
- You agree to maintain appropriate public liability insurance for your facility.
- OnePazz's total liability to you under this Agreement shall not exceed the total payouts made to you in the 3 months preceding the claim.
13. Modifications
OnePazz reserves the right to update these terms at any time. Partners will be notified via email at least 14 days before material changes take effect. Continued use of the partner portal after such notice constitutes acceptance of the revised terms.
14. Governing Law
This Agreement is governed by the laws of the Kingdom of Cambodia. Any disputes shall be resolved through good-faith negotiation, failing which through the relevant courts of Phnom Penh.
